1. Acceptance of Terms

By accessing or using Orchid Edge ("the Service"), you accept and agree to be bound by these Terms of Service. If you do not agree, please do not use the Service.

2. What Orchid Edge is

Orchid Edge provides:

• A trading journal and trade tracking system
• Prop account management and risk monitoring tools
• A Trading Lab simulation environment for educational purposes
• Performance analytics, reports, and rule-based playbooks

The Trading Lab is a simulation for educational purposes only. It does not involve real money trading and does not provide investment advice.

3. Subscriptions

Pricing and subscription terms will be published when the Service exits early access. Until then, access is offered on a pre-launch waitlist basis with no payment required. When subscriptions become available, the active terms will be presented at the point of purchase, and continued use after that point will be subject to those terms.

4. User Requirements

• You must be at least 18 years of age
• You must provide accurate registration information
• You are responsible for maintaining account security
• You may not share your account credentials
• You agree to only upload data you have legal rights to use

5. Trading Lab Simulation

Critical disclaimer:

• All Trading Lab features use simulated data and trades
• No real money is involved in backtests or practice sessions
• Past performance is not indicative of future results
• Simulated results differ significantly from actual trading outcomes
• We do not provide investment advice or trading signals
• Trading involves substantial risk of loss

6. Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose
• Attempt to reverse engineer or compromise the Service
• Abuse API endpoints or exceed published rate limits
• Redistribute market data to third parties
• Misrepresent simulated results as actual trading performance
• Use automated bots to spam the Service

7. Intellectual Property

All content, features, and functionality of the Service are owned by Orchid Edge and protected by copyright and trademark laws.

Your trading strategies, journal entries, notes, and custom data remain your property.

8. Data Sources, Caching and User Uploads

8.1 Market data sources

Market data is obtained from licensed providers including Polygon.io. All market data is provided on an as-is basis and is subject to the terms of our data providers. We are not responsible for data accuracy, completeness, or timeliness.

8.2 User-uploaded data (CSV imports)

When you upload CSV files or other market data, you grant us permission to:

• Store the data in our database
• Cache the data to improve service performance for all users
• Share the market price data (OHLCV candles) with other users
• Use the data to provide backtesting, practice, and analysis features

By uploading data you represent that (a) you have the legal right to use and share this data, (b) the data does not violate any third-party rights, and (c) you understand that market prices are public facts not subject to copyright protection.

8.3 Your private data

Your personal trading journal entries, notes, strategies, analysis, and account information remain private and are never shared with other users without your explicit consent. Only public market price data is shared in the cache.

8.4 Data retention

• Market data: retained indefinitely for the benefit of all users (cannot be deleted)
• Personal data: you may request deletion of your journal entries and account at any time
• Account deletion: personal data is removed within 30 days; market data cache remains

9. Limitation of Liability

Important:

• We are not liable for any trading losses
• We are not liable for data inaccuracies or errors
• We are not liable for service interruptions or downtime
• We are not liable for third-party data provider issues
• Where pricing applies, maximum liability is limited to fees paid to us in the last 12 months

10. Termination

We reserve the right to terminate or suspend accounts for:

• Violation of these Terms
• Fraudulent activity
• Abuse of the Service
• Non-payment, where applicable

11. Changes to these Terms

We may modify these Terms at any time. Continued use of the Service after a change constitutes acceptance of the modified Terms. We will notify users of material changes via email.
